Premier Investments Limited (ACN 006 727 966) (“Premier”): Takeover bid for Just Group Limited (ACN 096 911 410) (“Just”) For the purpose of ASX Listing Rule 3.3, Premier advises that:
(a) the off-market takeover bid made by Premier to acquire all of the ordinary shares in Just as contained in the bidder’s statement dated 13 May 2008 (as supplemented and varied) closed at 7:00 pm (AEST) on 3 September 2008; Premier has a relevant interest in 95.869% of the ordinary shares in Just; and Premier intends to proceed with the compulsory acquisition of the remaining shares in Just, and a copy of Premier’s compulsory acquisition notice dated 26 August 2008 has been lodged with the Australian Securities and Investments Commission, sent to ASX, Just and the remaining holders of Just shares, in accordance with section 661B of the Corporations Act 2001 (Cth).
